Welcome to Koala. These Terms of Service ("Terms") govern your access to and use of the Koala platform, website, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Koala is an AI-powered job matching platform that connects homeowners and businesses ("Clients") with skilled professionals, handymen, and contractors ("Service Providers"). Our platform facilitates:

• Job posting by Clients seeking professional services
• AI-powered matching between Clients and Service Providers
• Communication between parties through our messaging system
• Job application and management tools
• Optional premium subscription features

Koala acts as a platform to facilitate connections. We are not a party to any agreement between Clients and Service Providers, and we do not employ or endorse any Service Provider.

3. Eligibility

To use Koala, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Not be prohibited from using the Service under applicable laws

Service Providers must additionally hold all required licenses, permits, and insurance for the services they offer in their jurisdiction.

4. Account Registration and Security

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

5. User Conduct

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Post false, misleading, or fraudulent content
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to other accounts
• Use automated means to access the Service without permission
• Circumvent platform fees by transacting outside the platform
• Post spam, advertisements, or unsolicited promotions
• Violate any applicable laws or regulations

6. Client Responsibilities

As a Client posting jobs on Koala, you agree to:

• Provide accurate and complete job descriptions
• Respond to applicants in a timely and professional manner
• Pay Service Providers as agreed for completed work
• Not discriminate against Service Providers based on protected characteristics
• Ensure a safe working environment for Service Providers
• Obtain necessary permits for work performed on your property

7. Service Provider Responsibilities

As a Service Provider on Koala, you agree to:

• Maintain accurate profile information including skills and experience
• Hold all required licenses, permits, and certifications for your services
• Maintain appropriate insurance coverage
• Provide services professionally and to industry standards
• Communicate honestly about availability and capabilities
• Complete accepted jobs in a timely manner
• Comply with all applicable laws and safety regulations

You acknowledge that you are an independent contractor and not an employee of Koala. You are responsible for your own taxes, insurance, and compliance with labor laws.

8. Payments and Fees

Platform Fees

Koala may charge fees for certain features or services. Current fees are displayed on our pricing page. We reserve the right to modify fees with reasonable notice.

Premium Subscriptions

Premium subscriptions are billed on a recurring basis. You may cancel at any time, and cancellation will take effect at the end of your current billing period. Refunds are provided in accordance with our refund policy.

Payment Between Users

Payment for services between Clients and Service Providers is arranged directly between the parties. Koala is not responsible for payment disputes, non-payment, or quality of work performed.

9. AI-Powered Features

Our platform uses artificial intelligence to provide features including:

• Job matching and recommendations
• AI chat assistant for job-related questions
• Smart search and filtering

While we strive for accuracy, AI-generated recommendations and responses may not always be correct or complete. Users should exercise their own judgment when making decisions based on AI features.

10. Content and Intellectual Property

Your Content

You retain ownership of content you submit to Koala (job posts, profiles, messages, photos). By posting content, you grant Koala a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with the Service.

Our Intellectual Property

The Koala platform, including its design, features, code, and branding, is owned by Koala and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without written permission.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted or error-free
• Service Providers are qualified, licensed, or trustworthy
• Work performed will meet your expectations
• AI recommendations will be accurate or appropriate

Koala does not verify the credentials, background, or quality of Service Providers. Clients are responsible for conducting their own due diligence before hiring.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOALA SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Actions or omissions of other users
• Quality, safety, or legality of services performed
• Disputes between Clients and Service Providers

Our total liability for any claim shall not exceed the amount you paid to Koala in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Koala, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved as follows:

• Informal Resolution: Contact us first to attempt to resolve the dispute informally
• Arbitration: If informal resolution fails, disputes will be settled by binding arbitration
• Class Action Waiver: You agree to resolve disputes individually, not as part of a class action

15. Termination

You may terminate your account at any time by contacting us or using account settings. We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Pose a risk to other users or the platform
• Have been inactive for an extended period

Upon termination, your right to use the Service ceases immediately. Provisions that by nature should survive will remain in effect.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Koala
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• No Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not assign your rights without our consent
• Governing Law: These Terms are governed by the laws of the jurisdiction where Koala is incorporated
